These Terms of Service (“Terms”) govern your use of the Derive website at deriveir.app (the “Site”), operated by Derive Software Inc. (“Company,” “we,” “us,” or “our”). By accessing or using the Site, you agree to these Terms.

1. The Site

The Site is a marketing and informational website for Derive Software. It includes a blog (Derive Journal) and an email subscription feature. The Site does not currently provide access to a software platform, user accounts, or paid services.

2. Blog Content

Derive Journal publishes articles about ammonia refrigeration, compliance, workforce topics, and our company. All content is provided for general informational purposes only.

Blog content does not constitute professional engineering, safety, legal, or regulatory compliance advice. Nothing published on the Site should be relied upon as a substitute for consultation with qualified professionals. We make no representations about the accuracy, completeness, or applicability of any content to your specific facility, equipment, or situation.

3. Email Subscription

When you subscribe to Derive Journal, you consent to receive emails from us containing new posts and occasional updates. You may request removal from our mailing list at any time by contacting info@deriveir.app.

4. Intellectual Property

All content on the Site — including text, graphics, logos, icons, images, and the Derive and Derive Journal names — is the property of Derive Software Inc. and is protected by applicable intellectual property laws. You may not reproduce, distribute, or create derivative works from Site content without our prior written consent.

The Derive platform architecture and pipeline are covered by provisional patent filings.

5. Acceptable Use

You agree not to:

Use the Site for any unlawful purpose
Attempt to interfere with the Site’s operation or security
Submit false information through the subscription form
Scrape, crawl, or automated-harvest content from the Site without permission

6. Third-Party Links

The Site may contain links to third-party websites, including iPSM (ipsm.app). We are not responsible for the content, privacy practices, or terms of any third-party site.

7. Disclaimer of Warranties

THE SITE AND ALL CONTENT ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SITE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, DERIVE SOFTWARE INC. SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM YOUR USE OF THE SITE OR RELIANCE ON ANY CONTENT PUBLISHED ON THE SITE, INCLUDING BLOG CONTENT. OUR TOTAL LIABILITY SHALL NOT EXCEED ONE HUNDRED DOLLARS ($100).

9. Changes to These Terms

We may update these Terms from time to time. Material changes will be noted by updating the effective date at the top of this page. Continued use of the Site after changes constitutes acceptance of the updated Terms.

10. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of laws provisions. Any dispute arising from these Terms shall be resolved in the state or federal courts located in Delaware.
